1. Introduction

These Terms and Conditions (“Agreement”) govern the services provided by Idea To Web ("Developer", "we", "our") to any individual or business ("Client", "you") purchasing a monthly web development and maintenance package. By engaging in our services, you agree to be legally bound by this Agreement.

2. Scope of Services

  1. We provide custom website development using Laravel and associated technologies under a monthly subscription model.
  2. Each package includes a set number of hours per month (e.g., 10, 15, or 20 hours) allocated for tasks such as:
    • Website development and enhancements
    • CMS customization
    • E-commerce functionality
    • Bug fixes and debugging
    • SEO optimizations
    • Content updates
    • Domain and server management
    • CDN integration
    • Website security and backups
  3. Unused hours do not roll over to the next month unless explicitly agreed upon in writing.
  4. Additional development beyond the subscribed hours may incur additional charges, billed at a standard hourly rate unless otherwise negotiated.

3. Payment Terms

  1. All services are offered under a monthly retainer model.
  2. Payments must be made in advance before the start of each billing cycle via an agreed-upon payment method (e.g., Direct Debit, Stripe, or Bank Transfer).
  3. Failure to pay on time may result in service suspension or termination without notice.

4. Client Responsibilities

  1. You must provide all necessary access credentials (e.g., domain registrar, hosting, admin panels) required to perform our services.
  2. You are responsible for providing timely feedback and content (text, images, etc.) needed for updates or development tasks.
  3. Delays in feedback or resource delivery may affect delivery timelines.

5. Intellectual Property

  1. All source code, files, and assets created specifically for you will remain your property upon full payment unless otherwise stated.
  2. We reserve the right to reuse non-client-specific tools, code snippets, and development frameworks.
  3. Unless agreed otherwise, we may include a small footer link crediting Idea To Web as the developer.

6. Maintenance and Support

  1. Routine maintenance includes plugin updates, security checks, performance monitoring, and minor content updates.
  2. Emergency fixes (e.g., website down, security breaches) are prioritized and handled within reasonable timeframes, depending on workload and availability.
  3. Support is available Monday to Friday, 9 AM to 5 PM (UK Time). Out-of-hours support is available for critical issues only.

7. Revisions and Requests

  1. Reasonable revision requests are included within your monthly allocated hours.
  2. Major redesigns, full rebuilds, or services requiring third-party integrations or licenses may incur additional charges and will be discussed prior to execution.

8. Termination and Cancellation

  1. Either party may terminate the agreement with 14 days' written notice.
  2. No refunds are offered for partially used subscription periods.
  3. Upon cancellation, all files and intellectual property belonging to the client will be handed over after full settlement of outstanding payments.

9. Confidentiality

  1. Both parties agree to maintain strict confidentiality of sensitive business information, source code, and client data shared during the course of the project.

10. Limitation of Liability

  1. We are not liable for indirect, incidental, or consequential damages resulting from delays, service interruptions, or third-party service failures.
  2. We do not guarantee specific business outcomes such as increased sales, search engine rankings, or user engagement.

11. SEO and Marketing Disclaimer

  1. We implement SEO best practices to help improve organic visibility; however, we do not guarantee top search engine rankings due to the ever-changing nature of search algorithms.
  2. Content strategies and marketing recommendations are offered in good faith but must be evaluated by you or your marketing team before implementation.

12. Hosting and Third-party Services

  1. If hosting is provided as part of the package, we will ensure uptime and performance using our trusted infrastructure.
  2. We are not responsible for outages or errors caused by external service providers or third-party APIs.

13. Modifications to Terms

We reserve the right to update these Terms and Conditions at any time. Clients will be notified via email or dashboard notification. Continued use of services after updates constitutes acceptance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England.
